Terms of Service

1. Acceptance of Terms

By accessing or using Asset Forge ("the Service"), operated at assetforge.app, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

2. Description of Service

Asset Forge is a SaaS platform for AI-powered image generation. The Service allows you to create projects, brainstorm asset ideas via AI chat, batch generate images using AI models, review and provide feedback on generated images, and export structured data. The Service uses third-party AI models for image generation and prompt creation.

3. Account Registration

• You must provide accurate and complete information when creating an account.
• You are responsible for maintaining the security of your account credentials.
• You must be at least 13 years old to use the Service.
• One person or entity may not maintain more than one account.
• You are responsible for all activity that occurs under your account.

4. Credits & Payments

• The Service uses a credit-based system. Credits are consumed when generating images and using AI features.
• Credit purchases are processed by Stripe. By purchasing credits, you agree to Stripe's terms of service.
• Credits are non-transferable and tied to your account.
• Refunds: Unused credits may be refunded within 14 days of purchase. Credits that have been consumed are non-refundable.
• We reserve the right to modify credit pricing with 30 days' notice.
• Free trial credits, if provided, expire after 90 days and are non-refundable.

5. Acceptable Use

You agree not to use the Service to:

• Generate content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable
• Generate content that infringes on intellectual property rights of others
• Generate content depicting real individuals without their consent
• Attempt to reverse-engineer, decompile, or disassemble the Service
• Interfere with or disrupt the Service or its infrastructure
• Use automated systems (bots, scrapers) to access the Service without permission
• Resell or redistribute the Service itself
• Circumvent credit limits, rate limits, or other usage restrictions

We reserve the right to suspend or terminate accounts that violate these terms.

6. Intellectual Property

Your Content

You retain ownership of the prompts, project data, and other content you create within the Service. You grant us a limited license to process this content solely to provide the Service to you.

Generated Images

Images generated through the Service are created by third-party AI models (including FLUX via fal.ai). Your rights to generated images are subject to the terms of the underlying AI model providers. To the extent permitted by those providers' terms, you may use generated images for personal and commercial purposes.

Our Service

The Asset Forge name, logo, and the Service's software, design, and documentation are our property or licensed to us and are protected by intellectual property laws.

7. AI-Generated Content Disclaimer

The Service uses artificial intelligence to generate images and text. AI-generated content may be inaccurate, incomplete, or unexpected. You are responsible for reviewing all generated content before using it. We do not guarantee that generated content will meet your specific requirements, be free of errors, or be suitable for any particular purpose.

8. Service Availability

• We strive to maintain high availability but do not guarantee uninterrupted access.
• The Service depends on third-party providers (Supabase, fal.ai, Anthropic) whose availability is outside our control.
• We may perform maintenance with reasonable notice when possible.
• We reserve the right to modify or discontinue features with 30 days' notice.

9. Limitation of Liability

To the maximum extent permitted by law, Asset Forge and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the Service. Our total liability for any claim arising from the Service is limited to the amount you paid us in the 12 months preceding the claim.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Indemnification

You agree to indemnify and hold harmless Asset Forge and its operators from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

12. Termination

• You may delete your account at any time.
• We may suspend or terminate your account for violation of these Terms.
• Upon termination, your right to use the Service ceases immediately.
• We will make your data available for export for 30 days after termination, after which it may be permanently deleted.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Continued use of the Service after changes constitutes acceptance. For material changes, we will provide at least 30 days' notice via email or in-app notification.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the courts located in New York County, New York.
